We will consider acquisition targets which meet the following minimum requirements:

Profile Characteristics
  • Information Technology (IT)-based companies with software, hardware (purpose built) or technology services
  • Managed IT, Business Process Outsourcing (BPO) or related services with significant backlog
  • Mission-critical applications with very strong customer-perceived value
  • Traction (or strong market potential) in the public sector – specifically, state and local government, education and healthcare
  • Established customer base with $10-50M in yearly revenue
  • Gross Margin of 50% or better
  • Recurring revenue with a minimum of 15% from existing customer contracts
  • Proprietary intellectual property
  • Global market reach, where appropriate
  • Large addressable market with scalable growth potential
Structure Constraints
  • We are open to a variety of deal structures including asset and stock purchases, and incentives for remaining principals and management teams
  • We will consider take outs of existing management teams where we feel we can add significant value, but prefer to make investments in established teams with an operating history in the current business and industry
  • We will consider only controlling interest investments
